Important Notice

By accessing or using any service provided by NOVUX CLOUD TECHNOLOGIES ("Novux Cloud"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use our services. These Terms constitute a legally binding agreement between you and Novux Cloud.

Acceptance of Terms

By accessing or using the services provided by Novux Cloud, including our website at novuxcloud.com and all related services, applications, and platforms (collectively, the "Services"), you agree to be bound by these Terms of Service. These Terms apply whether you are accessing the Services as an individual or on behalf of an entity. You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to create an account and use our Services.

Description of Services

Novux Cloud provides digital cloud computing infrastructure services including, but not limited to:

  • Cloud Hosting — auto-scaling cloud compute instances and managed infrastructure
  • Virtual Private Servers (VPS) — dedicated-resource virtual servers with root access
  • Dedicated Server Hosting — bare-metal servers with direct hardware access
  • Content Delivery Network (CDN) and Edge Computing
  • Managed Database Services — PostgreSQL, MySQL, Redis, MongoDB
  • Cloud Security Solutions — DDoS protection, WAF, and compliance tools
  • Related technical support and consulting services
All services are digital: Novux Cloud delivers all services electronically over the internet. No physical goods are shipped or delivered as part of our services.

Account Registration

To access certain features, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your information to keep it accurate
  • Maintain the security and confidentiality of your account credentials
  • Accept full responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account at support@novuxcloud.com

Payment Terms

Payments for our Services are processed securely through PayU, a licensed payment aggregator regulated by the Reserve Bank of India (RBI).

Accepted payment methods: Credit cards (Visa, Mastercard, Amex), debit cards, UPI, net banking, and other methods available via PayU. International cards are also accepted.

Billing Cycle

Services are billed monthly or annually as selected at purchase. Billing begins upon service activation.

Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date via your account dashboard or by emailing billing@novuxcloud.com.

Currency

Services may be priced and billed in Indian Rupees (INR) or United States Dollars (USD) depending on the selected plan and payment method.

Taxes & GST

All fees are exclusive of applicable taxes. Indian customers may be subject to Goods and Services Tax (GST) as per Indian tax regulations. GST will be clearly indicated at checkout where applicable.

Late Payments

Failure to pay on time may result in service suspension or termination. We reserve the right to charge interest on overdue amounts at 1.5% per month.

Service Level Agreement (SLA)

Novux Cloud commits to maintaining a 99.99% uptime for all production services, calculated on a monthly basis. In the event we fail to meet this commitment, eligible customers may request service credits in accordance with our SLA policy. Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 48 hours in advance wherever possible.

If we fail to meet our uptime SLA in any month, you are entitled to service credits. Contact support@novuxcloud.com within 30 days of the incident to request a credit.

Acceptable Use Policy

You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, or impair our infrastructure. Prohibited uses include:

  • Hosting or distributing malware, viruses, ransomware, or any harmful software
  • Engaging in cryptocurrency mining without prior written approval from Novux Cloud
  • Sending unsolicited bulk email (spam) or conducting phishing or spoofing attacks
  • Hosting content that infringes on intellectual property rights
  • Conducting network attacks, port scanning, or unauthorised access attempts
  • Hosting illegal content as defined by applicable Indian or international law
  • Reselling our Services without a valid reseller agreement
  • Any activity that violates the IT Act, 2000 or other applicable Indian laws
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice or refund.

Data Ownership & Backups

You retain full ownership of all data you upload, store, or process through our Services. Novux Cloud does not claim any ownership rights over your data. While we provide automated backup services on certain plans, you are ultimately responsible for maintaining your own independent backups of all critical data. We strongly recommend implementing your own backup strategy in addition to our automated services.

Intellectual Property

All content, trademarks, logos, service marks, and branding associated with Novux Cloud are our exclusive property. Our platform, software, APIs, documentation, and all related intellectual property are protected by applicable copyright and trademark laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works without our express written permission.

Limitation of Liability

To the maximum extent permitted by applicable law, Novux Cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount paid by you to Novux Cloud in the twelve (12) months immediately preceding the event giving rise to the claim.

Termination

Either party may terminate Services at any time. You may cancel your subscription through your account dashboard or by contacting billing@novuxcloud.com. Upon termination:

  • Access to Services will cease at the end of the current billing period
  • You will have 30 days to retrieve your data before it is permanently deleted
  • Any outstanding fees remain payable
  • We may terminate your account immediately for violation of these Terms without refund

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, registered account holders will also receive email notification. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, and Consumer Protection Act, 2019, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of competent courts in Kerala, India.
