Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Novux Cloud ("Company," "we," "us," or "our"), including our website at novuxcloud.com and all related services, applications, and platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity, referred to as "you" or "Customer") and Novux Cloud regarding your use of our Services.
2. Description of Services
Novux Cloud provides cloud computing infrastructure services including, but not limited to:
- Cloud hosting and web hosting solutions
- Virtual Private Servers (VPS)
- Dedicated server hosting
- Content Delivery Network (CDN) and edge computing
- Managed database services
- Cloud security solutions including DDoS protection
- Cloud storage solutions
- Related technical support and consulting
All Services are delivered digitally and electronically. No physical goods are shipped or delivered as part of our Services.
3. Account Registration
To use certain features of our Services, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years of age or the legal age in your jurisdiction to create an account and use our Services.
4. Payment Terms
All payments for Services are processed in United States Dollars (USD). By subscribing to or purchasing any of our Services, you agree to pay all applicable fees as described on our pricing page or as otherwise agreed upon.
- Billing Cycle: Services are billed on a monthly or annual basis as selected during purchase. Billing begins upon activation of the Service.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
- Payment Methods: We accept major credit cards (Visa, Mastercard, American Express), debit cards, wire transfers, and other payment methods as made available through our payment processor.
- Late Payments: Failure to pay on time may result in suspension or termination of Services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.
- Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and levies imposed by any government authority.
5. Service Level Agreement (SLA)
Novux Cloud commits to maintaining a 99.99% uptime for all production Services, calculated on a monthly basis. In the event we fail to meet this commitment, eligible customers may request service credits in accordance with our SLA policy. Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 48 hours in advance whenever possible.
6. Acceptable Use Policy
You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our infrastructure. Prohibited uses include, but are not limited to:
- Hosting or distributing malware, viruses, or any harmful software
- Engaging in cryptocurrency mining without prior written approval
- Sending unsolicited bulk email (spam) or conducting phishing attacks
- Hosting content that infringes on intellectual property rights
- Conducting network attacks, port scanning, or unauthorized access attempts
- Hosting illegal content as defined by applicable law
- Reselling Services without a proper reseller agreement
Violation of this policy may result in immediate suspension or termination of your account without prior notice or refund.
7. Data Ownership and Backups
You retain full ownership of all data you upload, store, or process through our Services. Novux Cloud does not claim any ownership rights over your data. While we provide automated backup services on certain plans, you are ultimately responsible for maintaining your own backups. We strongly recommend maintaining independent backups of all critical data.
8. Intellectual Property
All content, trademarks, logos, service marks, and branding associated with Novux Cloud are our exclusive property. Our platform, software, APIs, documentation, and all related intellectual property are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Novux Cloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our Services.
Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount paid by you to Novux Cloud in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Termination
Either party may terminate Services at any time. You may cancel your subscription through your account settings or by contacting our support team. Upon termination:
- Access to Services will cease at the end of the current billing period
- You will have 30 days to retrieve your data before it is permanently deleted
- Any outstanding fees remain payable
- We may terminate your account immediately for violation of these Terms
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of competent jurisdiction.
